Terms governing access to and use of Alpha's website, research, evals, and convenings.

1. Acceptance

These Terms of Use ("Terms") govern your access to and use of alpha.ac and any related sites, applications, research, evals, assessments, events, and other services (collectively, the "Services") provided by Alpha Governance Group PBC ("Alpha", "we", "us"). By using the Services, you agree to these Terms.

2. Eligibility

The Services are intended for professional users acting on behalf of organizations with a legitimate interest in AI governance. You represent that you are at least 18 years old and have authority to bind any entity on whose behalf you act.

3. Independence and nature of opinions

Alpha evals, benchmarks, and research are independent opinionsas of their stated date, based on information believed to be reliable. They are not investment advice, not recommendations to buy, sell, or hold any security, and not a substitute for professional judgment by directors, officers, fiduciaries, underwriters, regulators, or counsel. Alpha does not advise on the systems it rates and does not sell AI software.

4. Account and subscriptions

Certain Services require an account or paid subscription (for example, Alpha BoardBrief Pro or Alpha Council membership). You are responsible for the accuracy of your registration data and for safeguarding credentials. Fees, renewal terms, and cancellation rights are described at the point of purchase.

5. Acceptable use

You agree not to:

  • Use the Services in violation of any law or third-party right.
  • Scrape, mirror, or systematically extract content without written permission.
  • Resell, sublicense, or publicly redistribute evals, indices, or research.
  • Interfere with or compromise the security or integrity of the Services.
  • Use the Services to train machine-learning models without a written license.

6. Intellectual property

The Services, including all content, methodology, software, trademarks, and branding, are owned by Alpha or its licensors and are protected by intellectual property laws. Subject to these Terms, Alpha grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal professional purposes.

7. Third-party content and links

The Services may reference or link to third-party materials. Alpha does not control and is not responsible for such materials and provides them for convenience only.

8. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. ALPHA'S AGGREGATE LIABILITY ARISING OUT OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE RELEVANT SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) US $100.

10. Indemnification

You agree to indemnify and hold Alpha harmless from any claim arising out of your misuse of the Services or violation of these Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The state and federal courts sitting in Delaware have exclusive jurisdiction over any dispute, unless otherwise required by mandatory local law.

12. Changes

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
